ACH/eCheck Authorization Agreement

This ACH/eCheck Authorization Agreement (“Authorization Agreement”) is entered into between ReCapture Financial, Inc. (“ReCapture™,” “Company,” “we,” “our,” or “us”) and the participating member (“Member,” “you,” or “your”).

This Authorization Agreement governs electronic payment authorizations associated with your participation in ReCapture™ powered by CrowdPays®.

By submitting banking information, electronically signing documents, authorizing participation deposits, or participating in ReCapture™, you agree to the terms below.


1. AUTHORIZATION FOR ELECTRONIC PAYMENTS

You authorize ReCapture Financial, Inc. to:

  • prepare,
  • initiate,
  • process,
  • and administer authorized electronic payment activity associated with your participation.

Authorized payment activity may include:

  • recurring participation deposits,
  • enrollment payments,
  • participation-related fees,
  • authorized eCheck processing,
  • and other authorized payment transactions connected to your membership participation.

2. ELECTRONIC CHECK AUTHORIZATION

By providing checking account information, you authorize ReCapture Financial, Inc. to:

  • prepare electronic checks,
  • send electronic checks for signature,
  • process signed electronic checks,
  • and administer participation-related payment activity.

Electronic checks may be:

  • delivered electronically,
  • sent through authorized third-party providers,
  • or delivered through approved digital signature systems.

Members understand:

  • unsigned electronic checks will not process,
  • processing times may vary,
  • and financial institutions may impose additional processing timelines.

3. RECURRING PARTICIPATION DEPOSITS

Participation in ReCapture™ may require recurring weekly participation deposits.

By participating, you authorize ReCapture™ to process recurring authorized deposits consistent with:

  • your approved participation structure,
  • underwriting approval,
  • participation requirements,
  • and selected participation programs.

Members acknowledge that:

  • recurring participation activity may continue until revoked or terminated,
  • failed payments may affect participation eligibility,
  • and missed deposits may affect Good Standing.

4. PAYMENT PROCESSING TIMELINES

Members understand that:

  • ACH transfers may require multiple business days,
  • eCheck processing times may vary,
  • weekends and holidays may affect processing,
  • and financial institutions may delay posting activity.

ReCapture™ does not guarantee:

  • exact posting dates,
  • bank processing speeds,
  • or uninterrupted processor availability.

5. FAILED PAYMENTS & RETURNED ITEMS

If a payment is:

  • returned,
  • rejected,
  • reversed,
  • disputed,
  • or declined,

ReCapture™ reserves the right to:

  • reattempt authorized processing,
  • suspend participation,
  • restrict dashboard access,
  • terminate participation,
  • or assess applicable returned payment fees where permitted by law.

Returned payments may affect:

  • participation status,
  • participation credits,
  • Good Standing,
  • and participation eligibility.

6. AUTHORIZATION REVOCATION

Members may revoke ACH authorization by providing written notice to ReCapture Financial, Inc.

Members understand:

  • revocation requests may require processing time,
  • pending authorized transactions may still process,
  • and revocation of authorization may affect participation eligibility.

Revocation of payment authorization may result in:

  • suspension,
  • cancellation,
  • or termination
    of participation programs dependent upon recurring participation activity.

7. ELECTRONIC SIGNATURE CONSENT

By electronically signing or accepting this Authorization Agreement, you:

  • consent to electronic records,
  • consent to electronic communications,
  • consent to electronic payment processing,
  • and agree that electronic signatures carry the same legal effect as handwritten signatures.

Electronic acceptance records maintained by ReCapture™ may serve as evidence of authorization.


8. SECURITY & ENCRYPTION

ReCapture Financial, Inc. utilizes commercially reasonable security measures, including SSL/TLS encryption technologies, to help protect submitted information.

Members understand that:

  • no electronic system is completely immune from risk,
  • internet-based systems may experience interruptions,
  • and third-party payment processors may be utilized.

9. THIRD-PARTY PROCESSORS

ReCapture™ may utilize:

  • banks,
  • ACH processors,
  • eCheck providers,
  • payment gateways,
  • software providers,
  • and administrative vendors
    to administer payment activity.

Members acknowledge that:

  • third-party providers may have independent policies,
  • banks may impose additional requirements,
  • and processing availability may vary.

10. MEMBER RESPONSIBILITIES

Members are responsible for:

  • providing accurate banking information,
  • maintaining sufficient available funds,
  • updating changed account information,
  • reviewing payment activity,
  • and monitoring participation communications.

Members agree not to:

  • submit fraudulent banking information,
  • authorize unauthorized accounts,
  • dispute authorized transactions improperly,
  • or interfere with payment processing systems.

11. NO GUARANTEE OF PARTICIPATION BENEFITS

Payment authorization and participation activity do not guarantee:

  • participation approval,
  • participation benefits,
  • financial returns,
  • program eligibility,
  • or future participation outcomes.

Participation remains subject to:

  • underwriting,
  • Good Standing,
  • participation requirements,
  • and program-specific eligibility rules.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, ReCapture Financial, Inc., CrowdPays®, affiliates, contractors, vendors, administrators, and payment processors shall not be liable for:

  • delayed transfers,
  • banking interruptions,
  • processor outages,
  • rejected transactions,
  • third-party failures,
  • participation interruptions,
  • or consequential damages related to electronic payment activity.

13. GOVERNING LAW

This Authorization Agreement shall be governed by the laws of the State of Georgia.


14. ARBITRATION

Any dispute relating to:

  • payment authorizations,
  • ACH activity,
  • eCheck processing,
  • participation deposits,
  • or electronic payment activity
    shall be resolved through binding arbitration in the State of Georgia unless otherwise required by law.

Members waive:

  • jury trial rights,
  • class actions,
  • and consolidated proceedings,
    except where prohibited by law.

15. MODIFICATIONS

ReCapture™ reserves the right to:

  • modify payment procedures,
  • update authorization requirements,
  • revise processing rules,
  • or update this Authorization Agreement.

Updated versions may be posted electronically.

Continued participation constitutes acceptance of revised terms.


16. ENTIRE AGREEMENT

This Authorization Agreement works together with:

  • the ReCapture™ Financial Participation Membership Agreement,
  • Privacy Policy,
  • Refund Policy,
  • Program Addendums,
  • and related participation documents.

MEMBER ACKNOWLEDGEMENT

BY ACCEPTING THIS AUTHORIZATION AGREEMENT, YOU ACKNOWLEDGE THAT:

  • YOU HAVE READ THIS AGREEMENT;
  • YOU AUTHORIZE ELECTRONIC PAYMENT PROCESSING;
  • YOU CONSENT TO ELECTRONIC RECORDS;
  • YOU CONSENT TO ELECTRONIC COMMUNICATIONS;
  • YOU UNDERSTAND PARTICIPATION MAY REQUIRE RECURRING PAYMENT ACTIVITY;
  • AND YOU VOLUNTARILY AUTHORIZE RECAPTURE™ TO PROCESS AUTHORIZED ELECTRONIC PAYMENT ACTIVITY CONSISTENT WITH YOUR PARTICIPATION.
