| ReCapture Financial Inc. AFFILIATE SALES AGREEMENT |

THIS AFFILIATE SALES AGREEMENT (the “Agreement”) is entered into by and between
ReCapture Financial Inc., a Georgia corporation with offices at
500 Northside Dr. NW, Suite PP05, Atlanta, Georgia 30309
(“Company,” “ReCapture,” “we,” “us,” or “our”),
powered by the CrowdPays™ Automated Spending Platform,
following the strategic acquisition of CrowdPay™ Inc. effective April 4, 2026,
and ________________________,
an individual or entity located at
________________________
(“Affiliate,” “you,” or “your”).
This Agreement governs your participation in the
ReCapture Financial Affiliate Sales Program (the “Program”).
1. PURPOSE OF AGREEMENT
This Agreement is strictly for affiliate sales representatives who market and sell access to
ReCapture Financial household financial solutions powered by the CrowdPays™ Automated Spending Platform.
This Agreement does not apply to:
- ReCapture Financial members
- Member referral programs
- Household referral benefits
Affiliate commissions are earned only under the terms stated herein.
2. DEFINITIONS
(a) “Qualified Client”
A household or individual that:
- Enrolls through an Affiliate tracking link or assigned referral method,
- Completes onboarding and inputs their household expenses, and
- Successfully completes two (2) consecutive weekly automated deposits.
(b) “Active Client”
A Qualified Client who remains enrolled, funded, and in good standing on the ReCapture platform.
(c) “Affiliate Account”
The internal account used by ReCapture Financial Inc. to track Affiliate referrals and commissions.
3. AFFILIATE RESPONSIBILITIES
You are solely responsible for:
- Your marketing methods
- Compliance with all applicable laws
- Ensuring representations about ReCapture Financial are accurate and approved
You may not:
- Misrepresent earnings
- Present yourself as an employee or agent of ReCapture Financial Inc.
- Offer guarantees not authorized by the Company
4. AFFILIATE COMMISSIONS
4.1 Initial Enrollment Commission
Affiliate earns a $250 one-time commission for each Qualified Client after the client has:
- Enrolled
- Completed onboarding
- Completed two (2) consecutive weekly deposits
4.2 Ongoing Monthly Residual Commission
Affiliate earns $100 per month per Active Client for up to 12 months.
- Maximum residual duration per client: 12 months
- Maximum lifetime residual per client: $1,200
Residual commissions stop if the client cancels, pauses, or falls out of good standing.
4.3 Commission Payment Schedule
- All affiliate commissions are calculated weekly
- Payments are issued each Friday
- Payments are made via the method designated by ReCapture Financial Inc.
- Company may withhold payment pending tax documentation or fraud review
5. NO DUAL ROLE – AFFILIATE VS MEMBER
No Affiliate may simultaneously:
- Earn Affiliate commissions, and
- Receive member referral benefits
No exceptions. No stacking. No hybrid participation.
6. PAYMENT CONDITIONS AND ADJUSTMENTS
ReCapture Financial Inc. may withhold, reverse, or adjust commissions in cases of:
- Fraud
- Chargebacks
- Duplicate referrals
- Self-referrals
- Agreement violations
7. INDEPENDENT CONTRACTOR STATUS
Affiliate is an independent contractor, not an employee, partner, agent, or representative of ReCapture Financial Inc.
Affiliate is solely responsible for:
- Taxes
- Insurance
- Licensing
- Compliance obligations
8. INTELLECTUAL PROPERTY & MARKS
Affiliate is granted a limited, revocable license to use approved:
- ReCapture Financial branding
- CrowdPays™ powered-by branding
- Approved campaign materials
All goodwill and intellectual property remain the exclusive property of ReCapture Financial Inc.

All remaining confidentiality, liability, arbitration, governing law, and dispute resolution provisions remain unchanged.
