BY ENROLLING IN RECAPTURE™, ACCESSING THE MEMBER DASHBOARD, OR PARTICIPATING IN ANY RECAPTURE™ PROGRAM, YOU AGREE TO THIS AGREEMENT.
1. INTRODUCTION
This ReCapture™ Financial Participation Membership Agreement (“Agreement”) is entered into between ReCapture Financial, Inc. (“ReCapture™,” “Company,” “we,” “our,” or “us”) and the individual or household participant (“Member,” “you,” or “your”) enrolling in or participating in ReCapture™.
ReCapture™ is a structured Financial Participation Membership Program powered by CrowdPays® infrastructure.
The ReCapture™ system is designed to help participating households:
- organize recurring financial obligations,
- maintain structured participation habits,
- coordinate household payment activity,
- access participation tracking systems,
- monitor participation activity,
- and become eligible for program-specific participation pathways.
This Agreement governs:
- membership participation,
- dashboard access,
- payment coordination,
- participation activity,
- electronic communications,
- and all related participation services provided by ReCapture Financial, Inc.
2. DEFINITIONS
For purposes of this Agreement:
“ReCapture™”
Means ReCapture Financial, Inc., its systems, membership programs, dashboard services, participation programs, administrators, agents, contractors, and authorized service providers.
“CrowdPays®”
Means the underlying participation infrastructure, budgeting systems, participation tracking systems, and administrative operational framework used by ReCapture™.
“Member”
Means any individual or household participating in ReCapture™.
“Participation”
Means active involvement in the ReCapture™ membership ecosystem, including deposits, dashboard use, underwriting cooperation, account activity, and compliance with program requirements.
“Participation Credits”
Means internal participation tracking values associated with active participation, participation history, program structure, and Good Standing.
“Good Standing”
Means compliant and active membership participation as determined by ReCapture™.
“Dashboard”
Means the member-facing portal used to access participation activity, account records, participation tracking, notifications, and related services.
“Program Addendum”
Means any separate participation rules, disclosures, or program-specific terms associated with a ReCapture™ program.
3. MEMBERSHIP PARTICIPATION
Participation in ReCapture™ is voluntary.
By participating, you acknowledge that ReCapture™ is a structured Financial Participation Membership Program and not:
- a bank,
- a lender,
- a debt settlement company,
- a debt forgiveness company,
- an insurance company,
- a securities broker,
- an investment advisory service,
- or a guaranteed financial return program.
Membership participation may include:
- household budgeting participation,
- recurring participation deposits,
- payment coordination,
- dashboard usage,
- underwriting review,
- participation tracking,
- participation credit tracking,
- and eligibility for participation-based program pathways.
Participation requirements may vary based on:
- household structure,
- participation level,
- selected programs,
- underwriting review,
- and ongoing participation activity.
4. HOUSEHOLD INFORMATION & UNDERWRITING
Members may be required to provide:
- household income information,
- recurring expenses,
- creditor obligations,
- vehicle obligations,
- housing expenses,
- utility expenses,
- payment methods,
- bank account information,
- and related financial participation information.
You agree that all submitted information:
- is truthful,
- is complete to the best of your knowledge,
- and is not misleading.
ReCapture™ reserves the right to:
- request supporting documentation,
- request identity verification,
- request updated information,
- deny participation,
- suspend participation,
- or terminate participation
if information is:
- inaccurate,
- unverifiable,
- incomplete,
- misleading,
- fraudulent,
- or inconsistent with participation requirements.
Participation approval is determined solely by ReCapture™ underwriting standards.
5. PARTICIPATION DEPOSITS
Participation in ReCapture™ may require recurring weekly participation deposits.
Participation deposit amounts may be determined based on:
- household expenses,
- household income,
- selected participation programs,
- participation structure,
- underwriting review,
- and participation viability.
Members understand that:
- participation deposits may be required to maintain Good Standing,
- failed deposits may affect participation status,
- returned payments may affect eligibility,
- and participation benefits depend on ongoing compliance.
ReCapture™ reserves the right to:
- modify participation requirements,
- request updated financial information,
- adjust participation structures,
- or suspend participation activity.
6. GOOD STANDING REQUIREMENTS
“Good Standing” means maintaining active and compliant participation within the ReCapture™ ecosystem.
Members may be required to:
- maintain recurring deposits,
- maintain accurate information,
- remain responsive to communications,
- comply with participation requirements,
- maintain active dashboard participation,
- and comply with all applicable policies.
Good Standing may be lost due to:
- failed deposits,
- repeated returned payments,
- account inactivity,
- fraudulent activity,
- identity verification failure,
- abuse of the system,
- refusal to cooperate,
- chargebacks,
- policy violations,
- or other participation concerns.
Loss of Good Standing may affect:
- participation eligibility,
- dashboard access,
- participation credits,
- participation tracking,
- and participation benefit pathways.
7. PARTICIPATION CREDITS
Certain ReCapture™ programs may involve participation-based tracking values known as “Participation Credits.”
Participation Credits:
- are internal participation tracking values,
- are not cash balances,
- are not deposit accounts,
- are not investment accounts,
- are not insurance proceeds,
- are not guaranteed assets,
- and are not transferable property rights.
Participation Credits may:
- accumulate over time,
- fluctuate based on participation,
- be visible in the dashboard,
- and remain subject to participation rules.
Participation Credits do not guarantee:
- future payments,
- future participation outcomes,
- future financial benefits,
- or future eligibility.
ReCapture™ reserves the right to:
- modify participation calculations,
- adjust participation structures,
- suspend participation tracking,
- or terminate participation eligibility
consistent with this Agreement.
8. PROGRAM PARTICIPATION
Participation in specific ReCapture™ programs may require additional agreements, disclosures, or addendums.
Programs may include:
- CarBarrage™
- Rent-Break™
- Eat4Free™
- AdvisorReady™
- and future participation programs.
Each program may contain:
- separate eligibility requirements,
- participation timelines,
- disclosures,
- participation pathways,
- underwriting standards,
- and participation structures.
Program-specific addendums are incorporated into this Agreement by reference.
9. PAYMENT COORDINATION
ReCapture™ may coordinate certain payment activity associated with household participation.
Payment coordination may include:
- electronic bill payment activity,
- mailed payments,
- scheduled payments,
- discretionary allocation coordination,
- participation tracking,
- and payment administration services.
Members understand that:
- payment processing times may vary,
- third-party processors may be used,
- financial institutions may experience delays,
- and payment coordination does not eliminate the Member’s underlying payment responsibilities.
Members remain solely responsible for ensuring all legal financial obligations are satisfied.
10. DASHBOARD ACCESS
Members may receive access to a ReCapture™ dashboard or participation portal.
Dashboard features may include:
- participation tracking,
- bill activity,
- payment status,
- participation credit visibility,
- notifications,
- account records,
- participation history,
- and communication records.
Dashboard access may be suspended or terminated due to:
- inactivity,
- fraud concerns,
- policy violations,
- account abuse,
- failed verification,
- or participation termination.
ReCapture™ does not guarantee uninterrupted dashboard access.
11. ELECTRONIC COMMUNICATIONS CONSENT
By participating in ReCapture™, you consent to receive:
- emails,
- SMS notifications,
- electronic notices,
- dashboard alerts,
- participation reminders,
- underwriting communications,
- operational communications,
- and account notifications.
Electronic communications satisfy any legal requirement that communications be provided in writing.
Members are responsible for maintaining accurate:
- email addresses,
- phone numbers,
- mailing addresses,
- and account contact information.
12. SMS COMMUNICATIONS CONSENT
By providing your mobile number, you consent to receive automated transactional and operational text messages related to:
- onboarding,
- participation activity,
- account servicing,
- payment notifications,
- underwriting updates,
- dashboard activity,
- participation reminders,
- and account administration.
Message frequency may vary.
Message and data rates may apply.
Consent is not a condition of purchase.
Reply STOP to opt out.
Reply HELP for assistance.
Your mobile information will not be sold or shared for marketing purposes.
13. ACH / ECHECK AUTHORIZATION
By submitting banking information, you authorize ReCapture Financial, Inc. to:
- prepare,
- process,
- initiate,
- and administer authorized electronic payment activity connected to your participation.
This authorization may include:
- recurring participation deposits,
- enrollment payments,
- authorized processing fees,
- and other participation-related payment activity.
Members acknowledge that:
- payment processors may be used,
- ACH/eCheck processing times may vary,
- and financial institutions may impose additional requirements.
Members may revoke ACH authorization in writing subject to processing limitations and participation consequences.
14. SECURITY & ELECTRONIC RECORDS
ReCapture™ uses commercially reasonable electronic security measures, including SSL/TLS encryption technologies, to help protect submitted information.
Members acknowledge and agree that:
- electronic signatures,
- electronic authorizations,
- electronic records,
- electronic acknowledgements,
- and electronic communications
shall have the same legal effect as handwritten signatures and paper records.
Electronic records maintained by ReCapture™ may serve as evidence of participation activity.
15. IDENTITY VERIFICATION
ReCapture™ reserves the right to conduct identity verification and fraud prevention procedures.
Members may be required to provide:
- government-issued identification,
- proof of address,
- banking verification,
- employment verification,
- household verification,
- and other supporting documentation.
Failure to satisfy identity verification requirements may result in:
- denied participation,
- delayed participation,
- suspended participation,
- or terminated participation.
16. FRAUD, ABUSE & PROHIBITED CONDUCT
Members agree not to:
- provide false information,
- misrepresent household information,
- commit fraud,
- abuse participation systems,
- manipulate participation activity,
- interfere with platform operations,
- engage in unlawful conduct,
- or misuse dashboard services.
ReCapture™ reserves the right to:
- investigate suspected misconduct,
- suspend accounts,
- terminate participation,
- report unlawful conduct,
- and pursue available legal remedies.
17. NO GUARANTEES
Participation in ReCapture™ does not guarantee:
- financial gain,
- debt elimination,
- participation approval,
- lender approval,
- participation benefits,
- payoff assistance,
- financial returns,
- or future participation eligibility.
Program outcomes depend on:
- participation activity,
- underwriting,
- Good Standing,
- participation structure,
- and ongoing compliance.
18. WHAT RECAPTURE™ IS NOT
ReCapture™ is not:
- a bank,
- a lender,
- a debt settlement service,
- a debt forgiveness program,
- a guaranteed return program,
- a securities broker,
- an investment advisor,
- or an insurance provider.
Participation does not replace:
- loan obligations,
- creditor obligations,
- contractual payment obligations,
- or household financial responsibilities.
19. THIRD-PARTY SERVICES
ReCapture™ may utilize:
- banks,
- payment processors,
- ACH processors,
- software providers,
- communication providers,
- dashboard vendors,
- hosting services,
- and administrative vendors.
ReCapture™ is not responsible for:
- third-party outages,
- banking interruptions,
- processor delays,
- communication failures,
- or external service disruptions.
20. REFUNDS & CANCELLATION
Participation fees, enrollment payments, and participation-related payments may be subject to:
- refund policies,
- cancellation rules,
- participation status,
- underwriting review,
- and program-specific participation requirements.
Refund eligibility may vary depending on:
- timing,
- participation status,
- verification outcomes,
- and applicable policies.
ReCapture™ reserves the right to:
- deny refunds where permitted,
- suspend participation,
- terminate memberships,
- or adjust participation eligibility.
Separate refund policies may apply to specific programs.
21. LIMITATION OF LIABILITY
To the maximum extent permitted by law, ReCapture Financial, Inc., CrowdPays®, affiliates, officers, employees, contractors, vendors, administrators, and service providers shall not be liable for:
- indirect damages,
- incidental damages,
- consequential damages,
- delayed payments,
- denied participation,
- participation losses,
- lender actions,
- third-party failures,
- processor interruptions,
- dashboard outages,
- or participation interruptions.
Participation is voluntary and undertaken at the Member’s own discretion.
22. FORCE MAJEURE
ReCapture™ shall not be liable for delays or failures caused by events beyond reasonable control, including:
- natural disasters,
- banking interruptions,
- internet failures,
- processor outages,
- cyber incidents,
- government actions,
- labor disputes,
- or other unforeseen events.
23. GOVERNING LAW
This Agreement shall be governed by and interpreted under the laws of the State of Georgia without regard to conflict-of-law principles.
24. ARBITRATION AGREEMENT
Any dispute arising out of or relating to:
- this Agreement,
- participation,
- dashboard activity,
- payment activity,
- participation credits,
- or ReCapture™ services
shall be resolved through binding arbitration.
Members waive:
- jury trial rights,
- class action participation,
- and consolidated proceedings,
except where prohibited by law.
Arbitration shall occur in the State of Georgia unless otherwise required by law.
25. SEVERABILITY
If any portion of this Agreement is determined to be invalid or unenforceable, the remaining portions shall remain fully enforceable.
26. SURVIVAL
Sections relating to:
- arbitration,
- limitations of liability,
- payment obligations,
- electronic records,
- and dispute resolution
shall survive termination of participation.
27. MODIFICATIONS
ReCapture™ reserves the right to:
- modify this Agreement,
- update participation requirements,
- revise participation structures,
- or change operational procedures.
Updated agreements may be posted electronically.
Continued participation constitutes acceptance of updated terms.
28. ENTIRE AGREEMENT
This Agreement, together with:
- Privacy Policies,
- Refund Policies,
- ACH Authorizations,
- Program Addendums,
- Disclosures,
- and related participation documents,
constitutes the complete agreement between the Member and ReCapture Financial, Inc.

MEMBER ACKNOWLEDGEMENT
BY ACCEPTING THIS AGREEMENT, YOU ACKNOWLEDGE THAT:
- YOU HAVE READ THIS AGREEMENT;
- YOU UNDERSTAND THIS AGREEMENT;
- YOU CONSENT TO ELECTRONIC COMMUNICATIONS;
- YOU CONSENT TO ELECTRONIC RECORDS;
- YOU AUTHORIZE APPLICABLE PAYMENT PROCESSING;
- AND YOU VOLUNTARILY AGREE TO PARTICIPATE IN RECAPTURE™ SUBJECT TO THESE TERMS.
